THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE OWNER DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE OWNER, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF THE OWNER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall the Owner’s total liability to you for all claims exceed the greater of (a) the amount you paid to the Owner in the twelve (12) months prior to the claim, or (b) one hundred U.S. dollars ($100).

Some states do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

DISPUTE RESOLUTION AND ARBITRATION

Informal Resolution

Before filing a formal legal claim, Users agree to first contact the Owner at xuan@lastelegance.com and attempt to resolve the dispute informally for a period of at least thirty (30) days.

Binding Arbitration

If informal resolution fails, any dispute arising out of or relating to these Terms or the Service shall be resolved through binding individual arbitration under the rules of the American Arbitration Association (AAA), rather than in court. The arbitration shall take place in [State], and be conducted in English.

Class Action Waiver

YOU AND THE OWNER AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR COLLECTIVE ACTION.

Exceptions

Either party may seek emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration. Nothing in this section shall prevent either party from seeking relief in small claims court for disputes within that court’s jurisdiction.

GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of the State of [State], without regard to its conflict of law provisions.

Common Provisions

No Waiver

The Owner’s failure to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision.

Service Interruption

The Owner reserves the right to interrupt the Service for maintenance, system updates, or other changes, and will make reasonable efforts to notify Users in advance.

The Owner may also suspend or discontinue the Service entirely. In such event, the Owner will cooperate with Users to allow them to retrieve their data and will honor applicable rights as required by law.

The Service may also be unavailable due to causes outside the Owner’s reasonable control, including but not limited to natural disasters, acts of government, power outages, or internet disruptions (“Force Majeure Events”).

Prohibited Activities

Users may not reproduce, duplicate, copy, sell, resell, or exploit any portion of LastElegance or the Service without the Owner’s express prior written permission.

Intellectual Property Rights

All intellectual property rights related to LastElegance — including copyrights, trademarks, patents, and design rights — are the exclusive property of the Owner or its licensors, protected under applicable U.S. and international intellectual property laws.

All trademarks, logos, service marks, and trade names displayed on LastElegance are the exclusive property of the Owner or their respective owners.

Changes to These Terms

The Owner reserves the right to modify these Terms at any time. Users will be notified of material changes via email or prominent notice on the Service.

Continued use of the Service after changes are posted constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.

Assignment

The Owner may assign or transfer its rights and obligations under these Terms at any time, provided your rights are not materially affected.

Users may not assign or transfer their rights or obligations under these Terms without the Owner’s prior written consent.

Severability
